Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of www.devrimone.com and all related websites, web and mobile applications, products, and services, including the Pohonch products (such as Pohonch Pay, Pohonch Drive, and Pohonch AI) and any other products or services that we may make available from time to time (collectively, the “Platform”), operated by Devrimone Services - FZCO (“Devrimone”, “we”, “us”, or “our”).

By accessing or using the Platform, creating an account, or placing an order, you (“you” or the “User”) agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, you must stop using the Platform.

Product-Specific Terms: Certain products or services made available through the Platform, including Pohonch Pay, Pohonch Drive, and Pohonch AI, may be subject to additional terms, policies, or eligibility requirements made available within or in connection with the relevant product (“Product-Specific Terms”). Product-Specific Terms form part of these Terms and, in the event of any conflict or inconsistency, shall prevail in respect of the relevant product.

You must be at least 18 years old, or of the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract to use the Platform or place an order. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. Where Product-Specific Terms permit persons under 18 to use a product, such as Pohonch Drive, that use is permitted only with the consent and under the supervision of a parent or legal guardian, who agrees to these Terms on the minor’s behalf and is responsible for the minor’s use of that product.

Certain features of the Platform may require you to create an account or otherwise sign up, including through registration and early-access subscription options available on our website and within our applications. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

You must notify us immediately at support@devrimone.com of any unauthorised use of your account or any other breach of security. Devrimone is not liable for any loss arising from your failure to safeguard your account credentials.

As at the date of these Terms, Devrimone does not sell physical goods through the Platform, and most Platform features are made available free of charge. This Section 4 applies only where a product or service made available through the Platform is subject to a fee or charge, which will be clearly disclosed before you are asked to confirm a transaction.

Devrimone makes reasonable efforts to display accurate descriptions, images, and pricing of products and services on the Platform. However, we do not warrant that descriptions or other content are error-free, and minor variations may occur.

Where applicable, prices are displayed in the currency shown before confirmation and are inclusive of applicable UAE VAT unless stated otherwise. We reserve the right to correct pricing errors and to cancel or refuse any order affected by an obvious pricing or listing error, in accordance with the UAE Consumer Protection Law.

Where applicable, placing an order constitutes an offer to purchase, which we may accept or decline at our discretion. A contract is formed only when we confirm your order, typically by email or in-app notification.

We accept payment using the methods indicated on the Platform. All payments are processed through third-party payment service providers identified to you at the time of the transaction and, where required, licensed by the competent UAE regulatory authority and PCI-DSS compliant. You represent that payment information you provide is accurate and that you are authorised to use the relevant payment method.

Estimated service-performance timeframes are provided in good faith and are not guaranteed unless expressly stated. Devrimone does not currently sell or deliver physical goods through the Platform.

Where applicable law grants you a right to cancel, return, or seek a refund or replacement of goods or services, including under the UAE Consumer Protection Law and its Executive Regulations and the E-Commerce Law, we will honour those rights. Any product-specific refund terms made available with a relevant product or service form part of these Terms.

Except where required by law, digital content, personalized goods, and services that have already been fully performed with your consent are not eligible for cancellation once delivery or performance has commenced.

All content on the Platform, including text, graphics, logos, trademarks, software, and design elements (the “Content”), is owned by or licensed to Devrimone and is protected under UAE and international intellectual property laws, including Federal Decree-Law No. 38 of 2021 on Copyrights and Related Rights and Federal Decree-Law No. 36 of 2021 on Trademarks.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal or internal business purposes only. You may not reproduce, distribute, modify, reverse-engineer, or create derivative works from any Content without our prior written consent.

You agree not to use the Platform to:

• Violate any applicable UAE federal or local law, including Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrimes;
• Upload or transmit content that is unlawful, defamatory, obscene, discriminatory, or infringes third-party rights;
• Attempt to gain unauthorised access to the Platform, our systems, or other users’ accounts;
• Introduce viruses or malware, or engage in activity that disrupts or degrades the Platform;
• Use automated means, including bots or scrapers, to access or extract data from the Platform without authorisation;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate access for any User in breach of this Section 8 and to report unlawful conduct to the competent UAE authorities.

If the Platform allows you to submit reviews, comments, prompts, inputs, or other content (“User Content”), you grant Devrimone a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display that User Content in connection with operating and promoting the Platform. You represent that your User Content does not infringe third-party rights and complies with applicable UAE laws on public decency and morality. We reserve the right to remove User Content at our discretion.

The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by Devrimone. We do not endorse and are not responsible for the content, products, services, or privacy practices of any third party. Your use of third-party services is at your own risk and subject to their terms.

Our collection and use of your personal data is governed by our Privacy Policy and Cookie Policy, which are prepared in accordance with the PDPL and incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

We do not use your personal data collected in connection with an order for marketing or promotional purposes without your consent, in line with UAE consumer protection requirements.

To the fullest extent permitted under UAE law, the Platform and all Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Nothing in this Section limits any warranty or right that cannot be excluded under the UAE Consumer Protection Law.

To the fullest extent permitted by UAE law, Devrimone shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.

Devrimone’s aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the total amount paid by you for the specific order or service giving rise to the claim in the three months preceding the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under UAE law, including liability for death, personal injury, or fraud.

You agree to indemnify and hold Devrimone, its officers, employees, and affiliates harmless from claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of your breach of these Terms, misuse of the Platform, or violation of applicable law or a third-party right.

We may suspend or terminate your access to the Platform or your account, with or without notice, if you breach these Terms, engage in fraudulent or unlawful activity, or if required by a competent UAE authority. You may close your account at any time by contacting support@devrimone.com. Provisions that by their nature should survive termination, including Sections 7, 8, 12, 13, 14, and 17, will continue to apply.

Devrimone shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including acts of God, war, civil unrest, government action, epidemic, internet or telecommunications failures, or other similar events.

You agree that your electronic acceptance of these Terms, including by clicking “I Agree”, creating an account, placing an order, or continuing to use the Platform, constitutes a valid and binding signature and agreement, enforceable in accordance with Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services. You consent to receive communications, notices, invoices, and disclosures from us electronically, including by email, SMS, or in-app notification.

These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE.

Before initiating formal proceedings, you agree to first contact us at support@devrimone.com to attempt to resolve the dispute informally.

These Terms are made available in English and Arabic. In the event of any conflict or inconsistency between the English and Arabic versions, the Arabic version shall prevail to the extent required under UAE law.

We may amend these Terms from time to time to reflect changes in our practices, technology, or legal and regulatory requirements. The updated version will be indicated by a revised “Last Updated” date and will take effect upon publication on the Platform, or on a later date we specify. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. Where required by law, we will provide additional notice of material changes.
